1. Approval of Inter Milan Club's financial statements and related management reports as of June 30, 2025; discussion and resolution of related matters;

Financial aspects:

The Inter Milan board of directors approved the draft financial statements as of June 30, 2025 a few weeks ago. The net profit was 35.4 million euros, compared with the loss of 35.7 million euros in the previous fiscal year. In comparison, it has achieved a significant improvement.

Total revenue reached 567 million euros, setting a new high in club history and becoming the highest revenue record in Serie A history (excluding the net value of player transfer transaction income).

Operating costs increased by 3.8%, approximately 18 million euros, to 482 million euros.

Changes in the Board of Directors:

The structure of the Board of Directors will be adjusted. In order to improve organizational efficiency, the board of directors will be reduced from 10 to 9 members, and Carlo Rigori, one of Oaktree Capital’s global opportunity strategy leaders, will exit the board of directors.
